By enrolling in the VIP Coaching Program, you agree to all of the terms contained in this Agreement. 

COACHING SERVICES. We, Helping Others Transform, LLC, agree to provide our VIP Coaching Program, which includes the following services: 

• Up to 2 hours of life & mindset coaching per month 
• Text message support via Whatsapp
  
• Email support via hotcoaching@gmail.com. 

TERM. The Program will be provided to Client for 3 months from start date.

CLIENT RESPONSIBILITIES. In order for you to get the most out of our time together, you must make our coaching sessions a priority. You should come to every call with a specific focus. When possible, including these details in the notes when scheduling calls is helpful and allows us to maximize our time. We do understand some sessions may be booked in advance and/or your needs may change.

COMMUNICATION. All non-coaching call communication shall be conducted via email, so that we are able to maintain a record of correspondence at all times. No personal text messages or social media DMs.

FEES.  If you opted to use the installment payment option, your first installment will be charged today and all future installments will be automatically charged to the credit card on file, according to the payment schedule. If the payment fails, please try to remedy this immediately to avoid breach of contract. 

MISSED PAYMENTS. If you selected the installment payment option, and your card is declined for any installment payment, you will receive an email notifying you of the declined charge and asking you to submit an updated card. Your card may be re-run three (3) days after the first declined transaction. If you have not provided a form of payment for a successful charge within 3 days, your access to the Program will be suspended until payment is made. 

REFUND POLICY. Due to the limited number of spaces in the Program, all sales are final and there is a strict no refund policy. For this reason, we want you to be very sure that the time is right for you to make this commitment. In the event of an emergency, and you are unable to begin or continue coaching, your spot will be held for up to one year and you may resume sessions within 30 days with written request. 

DISCLAIMER. It’s very important that you understand we are not an agent, lawyer, doctor, manager, therapist, registered dietician, or psychotherapist for you. Your participation in this Program will not guarantee any life or business results and if you should experience any life or business-related issues you should seek advice from your doctor, therapist, financial advisor, accountant, attorney, or other business consulting professional as determined by your own judgment. Because of the nature of the Program, the results experienced by each Participant may significantly vary. Although we are confident that the coaching in this Program will transform your life, we can’t make any promises to you and will not deliver any guaranteed outcomes as a result of following the recommendations set forth in the Program. The outcome and results you experience depend on your level of commitment to implement the strategies given. We have made no representations, warranties or guarantees verbally or in writing.

TERMINATION. We are committed to providing all Participants in the Program with a positive Program experience. By agreeing to Participate in this Program, you understand and agree that we may, at our sole discretion, terminate this Agreement, and limit, suspend, or terminate your participation in the Program without refund if you become disruptive to Helping Others Transform, LLC, or other Participants; fail to follow the Program guidelines; are difficult to work with; impair the participation of the other Participants in the Program; or upon violation of the terms as determined by us.

INDEMNIFICATION. You shall indemnify and hold us harmless from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments and expenses, as well as third party claims and causes of action, including, without limitation, attorneys’ fees, arising out of any breach by you of any of the terms of this Agreement, or any use by you of the Program materials. You shall provide us with such assistance, without charge, as we may request in connection with any such defense, including, without limitation, providing us with such information, documents, records and reasonable access to you, as we deem necessary. You shall not settle any third party claim or waive any defense without our prior written consent.

RESOLUTION OF DISPUTES. Any dispute arising out of this Agreement must be brought and decided in the courts of Hillsborough County, Florida. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
